At Trifta the privacy of our Data Subjects’ Personal Data is of utmost importance to us. Who Can Use Trifta.

Trifta, owns and has copyright in all work, software, systems, solutions, drawings, designs, specifications, electronic data and documents produced by Trifta in connection with the Products and Services provided pursuant to this contract and the client may use the Products and Services only if paid for in full and for the purpose for which they were intended and supplied by Trifta. If the Customer is a company or trust, the director(s) or trustee(s) and guarantor(s) signing this contract, in consideration for Trifta agreeing to supply Services and grant credit to the Customer at their request, also sign this contract in their personal capacity and jointly and severally personally undertake as principal debtors to Trifta the payment of any and all monies now or hereafter owed by the Customer to Trifta and indemnify Trifta against non-payment by the Customer – not just the initial credit limit but all increases granted thereafter to the Customer – which shall be deemed to be with my/our full consent. Any personal liability of a signatory hereto shall not exclude the Customer in any way whatsoever from the liabilities and obligations contained in this contract.

The signatories shall be jointly and severally liable under all the terms and conditions of this contract and for payment of all sums due hereunder. Voidable Preference Claims by Liquidators: In the event of Trifta being called upon and forced to make any payment to liquidator(s) under voidable preference transactions (insolvent transactions), the Personal Guarantee will cover any such payment including all legal costs to defend the same – as a new additional claim against guarantor(s) even if they had previously made payments / settlements to pay off Trifta dues, separately for voidable preference payment / expenses.

Warranty disclaimer

The licensed system and all related services are made available to you on an “as is”, “as available” basis. Unless a specific warranty is expressly given in this document, no warranty of any nature, express or implied, is made in this schedule c, including, without limitation, any warranty as to the availability, condition, merchantability, non-infringement, design, operation or fitness for or satisfaction in regards to a particular purpose.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Trifta be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) however caused and on any legal or equitable theory of liability, and whether or not for breach of contract, negligence or otherwise, even if Trifta has been advised of the possibility of such damages. These limitations will apply notwithstanding any breach of condition(s) or fundamental term(s) or for a fundamental breach(s). In any case, Trifta’s entire liability under any provision of this agreement shall be limited to the amount received by Trifta from you for the software and logs pursuant to this agreement provided. This limitation of liability is cumulative with all such party’s expenditures being aggregated to determine satisfaction of the limit.

Termination of accounts/service

Trifta may terminate your account or any services to your account(s) at any time without notice if:

  • there has been a forgery or fraud reported or committed involving your account;

  • there is a dispute as to the ownership of the funds in the account;

  • if there has been any misrepresentation or any other abuse of any of your accounts; or

  • Trifta reasonably deems it necessary to prevent a loss to the Trifta.

If we are required by law to give you a reason for adverse action for credit denied, we will do so. You may terminate any single party account or service at any time by notifying Trifta in writing.

Sign-up information

When you register to use the services offered on our digital platform, we will collect Personal Data that is necessary to on-board you such as your name, email address, mobile phone number, Bank Verification Number (BVN), and Business Registration details. We may require you to provide additional personal details as you use our services.

How Do We Protect Your Personal Data?

Remedies for Violation and Timeframe for Remedy

In the event of violation of this policy, our Data Protection Officer shall within 7 days redress the violation. Where the violation pertains to the disclosure of your Personal Data without your consent, such information shall be retracted immediately, and confirmation of the retraction sent to you within 48 hours of the redress.

Right to make changes to the agreement

Trifta hereby reserves the right to amend the clauses contained herein without Participant’s consent to the extent necessary or desirable to comply with the requirements of any law or regulation, notices and other guidance of general application issued thereunder.

This document is reviewed periodically and when there is any substantial change to business or regulatory requirements. At the minimum, we shall review this annually and communicate via our communication channels such as Website, Social Media Accounts etc.

Governing Law

This terms and policy is made according to the Nigeria Data Protection Regulation (2019) or any other relevant Nigerian laws, regulations or international conventions applicable to Nigeria.
